5. Eligibility

Businesses registering organizational accounts warrant that the registering individual has authority to bind the organization legally.

You remain fully responsible for all activities occurring under your account.

7. User Responsibilities

Users agree to use our Services responsibly and lawfully.

You shall not:

  • Violate intellectual property rights.

8. Payment & Billing Terms

Where Services are chargeable:

  • Applicable taxes shall be charged as required by Indian law.
  • Payments must be made using approved payment methods.
  • Invoices become due on their stated payment dates.
  • Delayed payments may result in suspension of Services.

Unless otherwise agreed in writing, payments made are generally non-refundable after successful delivery or activation of Services.

9. Subscription Renewal & Termination

Recurring subscriptions automatically renew unless cancelled before the renewal date.

Customers may terminate subscriptions by providing notice in accordance with applicable service agreements.

AIG SOLUTION may suspend or terminate Services if:

  • Payment obligations remain unpaid.
  • Fraud is suspected.
  • Illegal activities are detected.
  • Messaging policies are violated.
  • Regulatory authorities require suspension.
  • Third-party providers revoke platform access.

Termination does not relieve outstanding payment obligations accrued before termination.

10. Use of WhatsApp Official API & Google RCS

Users utilizing WhatsApp Business Platform or Google RCS Business Messaging acknowledge that these services are governed not only by these Terms but also by the applicable policies of Meta Platforms, Inc. and Google.

Users agree to:

  • Obtain valid recipient consent before messaging.
  • Use approved message templates where required.
  • Respect user opt-out requests.
  • Avoid prohibited content.
  • Avoid misleading communications.
  • Maintain accurate sender identity.
  • Follow applicable messaging quality standards.

AIG SOLUTION reserves the right to suspend messaging activity that risks policy violations or platform penalties.

11. Message Delivery & Compliance Policy

Message delivery depends upon multiple independent systems including:

  • Internet connectivity
  • Mobile operators
  • Recipient device compatibility
  • Platform availability
  • Third-party infrastructure
  • Regulatory filtering

Accordingly, AIG SOLUTION does not guarantee uninterrupted, immediate, or error-free message delivery.

Users remain solely responsible for ensuring all campaigns comply with:

  • Applicable Indian laws
  • Data protection requirements
  • Telecom regulations
  • Anti-spam obligations
  • Meta Business Policies
  • Google RCS Business Messaging Policies

Any penalties arising from unlawful messaging remain the responsibility of the originating customer.

12. Intellectual Property Rights

All intellectual property associated with AIG SOLUTION, including but not limited to:

  • Software
  • Source code
  • APIs
  • Documentation
  • Website content
  • Graphics
  • Logos
  • Designs
  • Branding
  • Databases

remain the exclusive property of AIG SOLUTION or its licensors.

Nothing contained in these Terms transfers ownership of intellectual property to any User.

Users receive only a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended business purposes.

Unauthorized copying, reverse engineering, modification, resale, distribution, or reproduction is strictly prohibited.

13. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary business information exchanged during the course of service delivery.

Confidential information includes:

  • Business strategies
  • Technical documentation
  • Pricing
  • Customer information
  • Security practices
  • Source code
  • Credentials
  • Internal communications

Confidential information shall not be disclosed except where required by applicable law or with written authorization.

These obligations survive termination of the business relationship.

14. Disclaimer of Warranties

To the fullest extent permitted under applicable law, AIG SOLUTION disclaims warranties relating to:

  • Merchantability

We do not guarantee that our Services will always be free from outages caused by internet providers, cloud infrastructure, mobile operators, governmental actions, force majeure events, or third-party platform limitations.

15. Limitation of Liability

To the maximum extent permitted by law, AIG SOLUTION shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising from the use or inability to use the Services.

This includes loss of:

  • Profits
  • Goodwill
  • Customer relationships

  • Business interruption

Where liability cannot legally be excluded, our aggregate liability shall not exceed the total fees paid by the customer for the affected Service during the preceding three (3) months.

16. Indemnification

You agree to indemnify, defend, and hold harmless AIG SOLUTION, its directors, employees, consultants, affiliates, partners, licensors, and service providers from any claims, liabilities, losses, damages, costs, penalties, or legal expenses arising out of:

  • Your misuse of the Services.
  • Violation of these Terms.
  • Breach of applicable laws.
  • Violation of Meta or Google messaging policies.
  • Infringement of third-party intellectual property rights.
  • Unauthorized communications initiated from your account.

17. Governing Law (India)

These Terms shall be governed exclusively by the laws of the Republic of India.

Any disputes arising from these Terms shall first be attempted to be resolved amicably through mutual discussions.

If resolution cannot be achieved, disputes shall be subject to the exclusive jurisdiction of the competent courts located in Dhule, Maharashtra, unless otherwise required under applicable law.

18. Changes to Terms

AIG SOLUTION reserves the right to amend, revise, update, or replace these Terms at any time to reflect:

  • Service enhancements

  • Business requirements

Updated Terms become effective immediately upon publication unless otherwise specified.
